Project Engagement
- We sign projects according to our Agile methodology and according to your requirements, whether you want to keep the charges on an hourly basis or a material basis.
- The taxes are applied to all the service fees.
- The estimation of the project fee will be declared after a one-on-one discussion between the client and the company.
- Payment terms are decided according to the agreement.
- You get a proper team of experts with a team leader and more experts on board if you require.

What Actions Do We Avoid?
- Secure Development Environments: We do not perform development directly on live production servers. To ensure zero downtime, we utilise dedicated Sandbox Environments for all coding tasks(excluding specific SEO optimisations, which require live implementation).
- Data Redundancy Responsibility: We do not maintain the sole copy of your information. Clients are required to provide test data or database replicas; maintaining a master backup remains the client's responsibility.
- Active Project Momentum: We do not unilaterally manage developer workflows without client input. To ensure maximum productivity and ROI, clients are requested to provide a consistent stream of prioritised tasks.
- Professional Conduct: We maintain a zero-tolerance policy regarding any form of harassment or abuse directed toward our staff members. A respectful partnership is essential for project success.
- Strict Confidentiality & Direct Contact: We do not interact with your end customers. All projects are handled with the strictest privacy, ensuring your brand identity and client relationships remain exclusively yours.
How We Charge Our Fees?
At Sumedha Softech, we offer flexible engagement structures designed to scale with your project needs:
- Dedicated Resource Model: Engagements are structured as time and materials agreements. Unless otherwise specified in a formal written contract, these services are billed in recurring daily, weekly, or monthly blocks.
- Ad-Hoc/Bucket Model: Our bucket services also operate on a time and materials basis. These are sold in minimum blocks of 10, 20, or 40 hours. To ensure precise accounting, work is tracked and deducted in 10-minute increments.
Project & Data Safety Protocols
To ensure project timelines remain accurate and data integrity is maintained, Sumedha Softech adheres to the following acceptance and backup standards
- Milestone Sign-off: Projects are delivered in modular sections. Clients are requested to review and approve these segments promptly. Delays in providing feedback or sign-off may impact the overall project delivery schedule.
- Final Testing & Liability: Upon completion of the contracted booking period, the project will undergo final testing. If testing fails due to errors introduced by the client, their third-party agents, or external subcontractors, the project is deemed to have passed. We are happy to assist in rectifying these third-party defects, which will be billed at our standard current rates.
- Data Backup Responsibility: Maintaining current backups of all work is the client's responsibility. While we strongly recommend automated, scheduled backups, which our technicians can configure for you, the ultimate custody of data backups lies with the client.
- Development Environment: To protect your business operations, all development occurs on our secure Sandbox Environments. Any requests to conduct development directly on live production servers are performed at the client’s own risk. Sumedha Softech accepts no liability for operational downtime or data impacts resulting from work performed on live sites at the client's request.
Invoice & Payment Policies
- Acceptance through Payment: Settling the advance or initial invoice constitutes your formal acceptance of these Terms and Conditions.

Standard Rate Calculations: Charges are based on our standard rates (adjustable with one month’s written notice):
- Weekly Rates: Calculated on an 8-hour workday, 5 days per week.
- Daily Rates: Based on a standard 8-hour technical shift.
- Bucket Rates: Pre-purchased blocks of 10, 20, or 40 hours must be utilised within six (6) months of the booking date.
- Currency & Taxation: All invoices must be settled in the issued currency. Prices are exclusive of VAT or applicable taxes, which will be added at the current statutory rate.
- Payment & Commencement: Invoices are issued in advance. Full reconciliation is required before engineering work begins.
- Outstanding Balances: We reserve the right to pause projects or temporarily remove files from our servers if invoices remain unpaid.
Limitation Of Liability Clauses
This section defines the financial boundaries of Sumedha Softech’s liability regarding services, including actions by employees, consultants, or agents:
- Scope of Liability: Our liability covers contract breaches, negligence, or omissions arising directly from these Terms. However, nothing excludes liability for fraud or personal injury caused by our negligence.

Excluded Losses: Sumedha Softech is not liable for indirect or consequential losses, including:
- Loss of Profits or Business opportunities.
- Depletion of Goodwill or anticipated savings.
- Corruption of Data: Responsibility for data backups remains with the client.
- Financial Cap: Our total aggregate liability is strictly limited to the total charges paid by you during the 12 months immediately preceding the claim date(or the total paid if the period is shorter).
Project Termination & Settlement
To ensure professional accountability, Sumedha Softech reserves the right to terminate services or projects without liability under the following conditions:
- Payment Defaults: Failure to settle any invoice within 7 days of a written notice following the original due date.
- Material Breach: Violation of these terms that remains unresolved for 14 days after formal notification.
- Insolvency: Should the client enter bankruptcy, liquidation, or any formal insolvency procedure?
- Technical Unworkability: If a project becomes technically undeliverable due to factors outside our direct control or fault.
Post-Termination Procedures
Upon termination for any reason, the following protocols apply:
- Immediate Settlement: All outstanding invoices and unbilled services become due and payable immediately upon receipt of a final invoice.

Interest on Overdue Balances: We reserve the right to apply interest at 8% above the prevailing base rate per annum on any balance unpaid after 30 days.

License Revocation: All software licenses granted by us during the project lifecycle will immediately terminate.

Official Notification: Termination notices must be sent via email to mail@sumedhasoftech.com. We will communicate any service cessation to your registered primary email address.
Warranty & Dispute Resolution
To ensure the long-term quality and stability of your digital assets, Sumedha Softech provides a structured warranty period and a clear path for resolving any technical disagreements.

Post-Deployment Warranty: We provide a thirty(30) calendar day Warranty Period starting from the date of project delivery or milestone sign-off.
- Error Correction: If you identify an error in the code, system, or program developed by our team, you must notify your project manager in writing within this 30-day window. Once verified, Sumedha Softech will rectify internal construction errors at no additional cost.
- Technical Definitions: Sumedha Softech reserves the right to technically define and categorise a report as a bug, error, or out-of-scope request.

Warranty Exclusions: Sumedha Softech shall not be held liable for fixes under the following circumstances:
- Late Notification: Errors reported after the 30-day Warranty Period have expired.
- External Interference: Issues caused by the involvement of third-party developers, freelancers, or agencies not affiliated with Sumedha Softech.
- Environment Changes: Errors resulting from changes to server configurations, hosting environments, or third-party API updates made at the customer’s end.
- Incomplete Inherited Code: Issues found in software or scripts originally developed by external parties or provided to us in a partially finished state.
- Reproducibility: If the reported error cannot be verified or reproduced within our testing environment.
- Business Outcomes: We make no warranties regarding commercial profitability or specific business success, as these depend on market factors beyond our technical control.

Dispute Resolution Process: We believe in proactive communication to resolve hurdles. In the event of a disagreement:
- Project Level: The issue must first be referred to your assigned Project Manager.
- Senior Management: If unresolved after 30 days, the matter will be escalated to our Legal Team at mail@sumedhasoftech.com, who will appoint a Senior Account Manager to mediate.
- Leadership Review: If the dispute persists for another 30 days, it will be referred to the Sumedha Softech Leadership Team for a final resolution within 15 calendar days.
Note: No claims for refunds or credits will be acknowledged for services rendered if the issue was not reported in writing during the active Warranty Period.
Our Project Management Portal
To ensure seamless communication and transparent project tracking, Sumedha Softech provides access to a dedicated project management area. This access is a courtesy granted to facilitate the efficient administration of your digital assets.
- Access & Availability: Access to the portal is granted temporarily. We reserve the right to modify, suspend, or discontinue any part of the management area without prior notice. Sumedha Softech shall not be held liable if the portal is unavailable for any duration due to maintenance or technical updates.
- Security & Confidentiality: You are responsible for maintaining the confidentiality of your assigned usernames and passwords. These credentials must not be shared with unauthorised third parties. We reserve the right to disable any account if we reasonably believe these security terms have been compromised.
- User Compliance: It is your responsibility to ensure that all team members or representatives accessing the portal are aware of and comply with these Terms and Conditions.
- Intellectual Property: Sumedha Softech remains the sole owner or authorised licensee of all intellectual property rights and materials published within the project management portal.
- Technical Safeguards: While we maintain rigorous security standards, we do not guarantee that the portal will be entirely free from bugs or viruses. You are responsible for configuring your own IT systems and security software to access the area safely.
- Liability for Cyber Threats: Sumedha Softech is not liable for any loss or damage resulting from viruses, Distributed Denial-of-Service(DDoS) attacks, or other technologically harmful materials that may infect your hardware or data through the use of the portal or the downloading of its content.
- Prohibited Conduct: Users are strictly prohibited from misusing the portal by intentionally introducing malware, Trojans, or worms. Any attempt to gain unauthorised access to the portal or its hosting servers will result in immediate termination of services and potential legal action.
Rights Of Intellectual Property
At Sumedha Softech, we respect the creative and technical ownership of all parties. This section outlines how prior IP and developed IP are managed to ensure clear ownership and protection for your business assets.
- Ownership of Confidential Information: Each party retains all proprietary rights to its own Confidential Information. No licenses or rights, expressed or implied, are granted regarding any invention, discovery, patent, or copyright unless explicitly stated in a formal agreement.
- Prior Intellectual Property(Prior IP): All Intellectual Property owned by either party before the project’s effective date remains the exclusive property of that party. No rights to Prior IP are transferred through this agreement, and each party bears the burden of proof for any IP they claim as prior.
- Development of Intellectual Property: Both parties acknowledge that existing IP may be used or further developed during the project. Sumedha Softech reserves the right to continue developing and commercially exploiting its own proprietary tools and frameworks independently of the client’s specific project.
- Developed IP for Clients: Upon the successful completion of the project and full settlement of all outstanding invoices, all rights, titles, and interests in the Intellectual Property created, written, or produced specifically for the client shall vest exclusively with the client. This includes software, designs, technological innovations, discoveries, and recorded materials created within the scope of work.
- Transfer of Rights: Sumedha Softech confirms that it shall hold no right or title to the final project assets once the final payment is received. We agree to assist the client, at the client’s expense, in obtaining legal protections(such as patents or copyrights) and executing necessary documentation to vest full interest in the client’s name globally.
How Do We Resolve Concerns?
At Sumedha Softech, we are committed to delivering high-quality, efficient service at every stage of your digital journey. If at any time our services or administrative processes do not meet your expectations, we encourage proactive communication to resolve the matter swiftly. In accordance with our Dispute Resolution Protocol, please direct your concerns to the appropriate department as follows:
- Technical & Project execution: If you have concerns regarding the code, design, or project milestones, please raise them directly with your developer(for Model A or D engagements) or your assigned project manager.
- Invoicing & Billing: For any queries or disagreements regarding invoices and financial statements, please contact our accounts team immediately at mail@sumedhasoftech.com.
- Escalation: If your concern remains unresolved after consulting the primary points of contact, please follow the formal escalation path to our senior management as outlined in our Warranty and Disputes section.
Professional Ethics & Governing Law
At Sumedha Softech, we take immense pride in our technical standards and global business reputation. To protect the integrity of our partnership, we adhere to the following standards regarding public conduct and legal jurisdiction.
- Professional Resolution of Grievances: We value your feedback and are committed to excellence. Should you feel dissatisfied with any aspect of our service, you agree to resolve the matter exclusively through the formal channels outlined in our "Procedures for Resolving Concerns"(Clause 16).
- Non-Disparagement: As a condition of our mutual agreement, both parties agree to act in good faith. You agree not to make, post, or publish any derogatory, defamatory, or critical comments regarding Sumedha Softech, its employees, or its services to any third party or on any public platform(including social media and review sites). We believe in resolving issues professionally and privately to reach a constructive outcome. Any breach of this clause may lead to the immediate termination of services and potential legal action to protect our business reputation.
- Governing Law & Jurisdiction: These Terms and Conditions shall be governed by and construed in accordance with the laws of India. Any disputes arising from or in connection with our services shall be subject to the exclusive jurisdiction of the courts in Jaipur, Rajasthan.
- Entire Agreement: These Terms and Conditions constitute the final and complete agreement between Sumedha Softech and the Customer. They supersede all prior discussions, promises, warranties, or understandings, whether written or oral, regarding the subject matter herein.
Non-Compete Agreement
To protect the integrity of our team and our client relationships, Sumedha Softech implements strict non-compete standards. These provisions apply globally, reflecting the international nature of the IT services industry.
- Non-Solicitation of Personnel: During your business relationship with Sumedha Softech and for twelve(12) months thereafter, you agree not to directly or indirectly solicit, induce, or assist any of our developers, analysts, or employees to cease their employment with us. You shall not engage these individuals in any contract for services, employment, or any other professional capacity outside of their role at Sumedha Softech.
- Protection of Client Relationships: You agree not to solicit or attempt to engage in direct business relationships with any of our existing clients that you become aware of through our engagement.
- Prohibition of Direct Commissioning: You must not commission work directly from any Sumedha Softech employee or developer. All professional engagement with our team must be facilitated through our formal management channels.
- Global Scope: Given the borderless nature of IT services, these non-solicitation and non-compete provisions are binding worldwide.
- Remedies for Breach: Any violation of these clauses will be treated as a material breach of contract. Sumedha Softech reserves the right to initiate legal proceedings for damages, which shall include claims for loss of profit, loss of business opportunity, and any associated legal or operational expenses incurred as a result of the breach.
